These Terms of Service ("Terms") govern your access to and use of the Arailus website located at Arailus.com, including any mobile or other online services that link to these Terms (collectively, the "Site"), and your purchase and use of products offered through the Site.

The Site and the products offered through it are operated by Virtus Nova LLC, doing business as Arailus ("Arailus," "we," "us," or "our").

By accessing or using the Site, creating an account, placing an order, or purchasing products through the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Site or purchase products through it.

If you are using the Site on behalf of a business or other organization, you represent that you have authority to accept these Terms on that organization's behalf.

These Terms contain important provisions concerning purchases, returns, disclaimers, limitations of liability, intellectual property, dispute resolution, and arbitration. Please read them carefully.

1. Eligibility and Accounts

1.1 Minimum Age

You must be at least 13 years old to use the Site or purchase products from Arailus.

If you are between 13 years old and the age of majority in your jurisdiction, you may use the Site and purchase products only with the permission and supervision of your parent or legal guardian, who agrees to be bound by these Terms on your behalf.

1.2 Accounts

You may create an Arailus account or complete a purchase as a guest.

If you create an account, you agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You agree to notify us promptly if you believe your account or credentials have been accessed or used without authorization.

1.3 International Customers

Arailus sells products to customers internationally. If you access the Site or purchase products from outside the United States, you are responsible for complying with the laws applicable to you in your jurisdiction.

Certain products, shipping methods, taxes, duties, or other services may not be available in every country.

2. Products and Product Information

2.1 Product Availability

All products displayed on the Site are subject to availability.

Because Arailus products may be manufactured on demand by third-party manufacturing and fulfillment partners, product availability may change without notice.

We reserve the right to limit quantities, discontinue products, modify products, or change product descriptions at any time.

2.2 Product Descriptions

We attempt to provide accurate descriptions, photographs, measurements, colors, and other information regarding our products.

However, we do not guarantee that product descriptions, photographs, colors, measurements, or other information displayed on the Site will always be completely accurate, current, or error-free.

Colors may appear differently depending on your device, monitor, lighting conditions, or other factors.

2.3 Custom and Made-to-Order Products

Certain Arailus products may be manufactured or fulfilled after an order is placed.

Because of this manufacturing model, production and fulfillment times may vary.

3. Orders, Pricing, and Payment

3.1 Order Acceptance

When you place an order through the Site, you are submitting an offer to purchase the products in your order.

Receipt of an order confirmation does not necessarily mean that Arailus has accepted your order.

We reserve the right to accept, reject, cancel, or limit any order, in whole or in part, at our discretion, including for reasons such as:

  • suspected fraud or unauthorized activity;

  • incorrect or erroneous pricing;

  • errors in product information;

  • product unavailability;

  • inventory or manufacturing limitations;

  • quantity limitations;

  • shipping limitations;

  • suspected abuse of promotions or discount codes; or

  • other circumstances that make fulfillment impractical or inappropriate.

If we cancel an order after payment has been processed, we will refund the applicable amount paid for the canceled portion of the order.

3.2 Pricing

Prices displayed on the Site are subject to change without notice.

Unless otherwise stated, applicable taxes, shipping charges, customs duties, and other charges may be added to your order.

We reserve the right to correct pricing errors or other errors in product listings, including after an order has been submitted.

3.3 Payment Information

You agree to provide accurate, complete, and current billing, payment, shipping, and contact information.

You authorize Arailus and its payment service providers to charge the applicable amount for your order using the payment method you provide.

4. Promotions and Discount Codes

Arailus may offer promotional codes, affiliate codes, sales, discounts, limited-time offers, and other promotions ("Promotions").

Unless otherwise stated:

  • Promotions may be subject to additional terms;

  • only one discount code may be used per order;

  • discount codes may not be combined;

  • discount codes have no cash value;

  • discount codes are not transferable;

  • Promotions may have expiration dates or other restrictions;

  • Arailus may modify, suspend, or terminate a Promotion at any time, subject to applicable law; and

  • Arailus may refuse to honor a Promotion where there has been fraud, misuse, technical error, or other improper activity.

Future promotions may include offers such as "buy one, get one" or similar promotional structures and may be subject to additional conditions.

5. Shipping and Delivery

5.1 Shipping Charges

Shipping charges are generally the responsibility of the customer unless Arailus expressly offers free or discounted shipping for a qualifying order or Promotion.

Arailus may establish, modify, or discontinue free-shipping thresholds or other shipping promotions at any time.

Any applicable shipping charges will generally be displayed during checkout.

5.2 Production and Delivery Estimates

Arailus products may be manufactured and fulfilled through third-party manufacturing and fulfillment providers.

Our current expected production and shipping timeframe is generally approximately 13–20 days, although actual delivery times may vary.

International deliveries may take longer depending on the destination, carrier, customs processing, weather, holidays, transportation conditions, or other circumstances outside Arailus's control.

All shipping and delivery estimates are estimates only and are not guaranteed unless expressly stated otherwise.

5.3 Delays

Arailus is not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, customs delays, weather, natural disasters, labor disruptions, governmental actions, transportation disruptions, or other events beyond our reasonable control.

5.4 Risk of Loss

Once an order has been transferred to the applicable shipping carrier, Arailus is generally not responsible for carrier delays, loss, theft, or damage, except where otherwise required by applicable law.

If you believe your package has been lost, stolen, damaged, or improperly delivered, you should contact Arailus promptly.

We will reasonably assist in investigating shipping issues and, where appropriate, may assist with claims involving the applicable carrier or fulfillment provider.

5.5 Incorrect Shipping Information

You are responsible for providing an accurate and complete shipping address.

If you provide an incorrect or incomplete address, you should contact us as soon as possible.

If an order has not yet shipped, we will make reasonable efforts to correct the shipping information where possible, but we cannot guarantee that changes can be made.

Once an order has shipped, we may be unable to intercept, redirect, or change the shipment.

If a package is returned because of an incorrect or incomplete address provided by the customer, Arailus may require the customer to pay applicable additional shipping costs before reshipping the order.

Depending on the circumstances, Arailus may instead issue a refund, subject to applicable law and our return procedures.

6. Returns, Exchanges, and Refunds

6.1 General Returns

Arailus accepts eligible returns within 30 days of delivery.

To qualify for an ordinary return:

  • the product must be unworn;

  • the product must be unwashed;

  • the product must be unused;

  • the product must be in its original condition;

  • original tags and packaging should be included where applicable; and

  • the return must otherwise comply with these Terms and any return instructions provided by Arailus.

6.2 Return Shipping

Unless a product is defective, damaged, incorrect, or otherwise subject to a return right required by applicable law, the customer is responsible for return shipping costs for ordinary returns.

Arailus may provide additional return instructions after receiving a return request.

6.3 Defective, Damaged, or Incorrect Products

If you receive a product that is defective, damaged during shipment, or materially different from the product you ordered, contact Arailus promptly after delivery.

We may request photographs or other information necessary to evaluate the issue.

Depending on the circumstances and applicable law, Arailus may provide a replacement, refund, repair, or other appropriate resolution.

6.4 Returns of Made-to-Order Products

Because Arailus products may be custom-manufactured or made to order, returned products may not be capable of being resold.

Nevertheless, Arailus may accept eligible ordinary returns under Section 6.1 at its discretion and subject to the requirements stated in these Terms.

6.5 Refunds

Approved refunds will generally be issued to the original payment method.

The timing of the refund may depend on the payment provider or financial institution.

Shipping charges are generally non-refundable for ordinary returns unless otherwise required by applicable law or expressly stated by Arailus.

6.6 Exchanges

Arailus may offer exchanges for eligible products subject to availability.

Because certain products may be manufactured on demand, we cannot guarantee that the requested replacement size, color, or product will be available.

6.7 Non-Returnable Items

Arailus may designate certain products as final sale or otherwise non-returnable. Any such restriction will be disclosed before or at the time of purchase, subject to applicable law.

Nothing in this Section limits any non-waivable rights you may have under applicable law.

7. Website Use

7.1 Limited License

Subject to these Terms, Arailus grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes.

7.2 Prohibited Activities

You agree not to:

  • use the Site for unlawful, fraudulent, or abusive purposes;

  • violate applicable laws or regulations;

  • scrape, crawl, harvest, or collect information from the Site through automated means;

  • use bots or other automated systems to interact with the Site except where expressly authorized;

  • copy, reproduce, distribute, modify, or create derivative works from the Site or its content without permission;

  • copy or commercially exploit Arailus product photographs or other proprietary materials;

  • attempt to gain unauthorized access to the Site, accounts, systems, networks, or data;

  • introduce viruses, malware, malicious code, or other harmful material;

  • interfere with or disrupt the operation or security of the Site;

  • engage in fraudulent purchases or payment activity;

  • impersonate another person or entity;

  • use the Site to infringe the rights of Arailus or another person; or

  • use the Site in any manner prohibited by applicable law.

Arailus may suspend or terminate access to the Site if we reasonably believe you have violated these Terms or engaged in fraudulent, abusive, unlawful, or harmful activity.

8. User Reviews, Photos, Videos, and Other Content

8.1 User Content

The Site may permit you to submit reviews, comments, photographs, videos, ratings, testimonials, or other materials ("User Content").

You retain ownership of your User Content.

However, by submitting User Content to Arailus, you grant Virtus Nova LLC and Arailus a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, distribute, modify, adapt, and use that User Content for lawful business purposes, including marketing, advertising, promotion, social media, website content, and other promotional activities.

This license continues for as long as reasonably necessary for these purposes, subject to applicable law.

8.2 Your Responsibility

You represent that:

  • you own or otherwise have the necessary rights to submit the User Content;

  • your submission does not violate another person's rights;

  • your User Content does not contain unlawful, fraudulent, defamatory, or misleading material; and

  • you have obtained any permissions necessary from individuals depicted in your User Content where required by law.

8.3 Moderation

Arailus may, but is not required to, review, monitor, remove, restrict, or refuse to display User Content at our discretion.

9. Intellectual Property

9.1 Arailus Property

The Site and its contents, including without limitation:

  • the Arailus name;

  • Arailus logos;

  • trademarks and service marks;

  • clothing designs;

  • product designs;

  • product photographs;

  • written content;

  • graphics;

  • videos;

  • artwork;

  • website design;

  • product descriptions;

  • logos and branding;

  • software;

  • page layouts; and

  • other materials

are owned by or licensed to Virtus Nova LLC/Arailus and are protected by applicable intellectual-property laws.

9.2 Restrictions

Except as expressly permitted by these Terms or with our prior written permission, you may not copy, reproduce, modify, distribute, publicly display, publish, sell, license, create derivative works from, or commercially exploit Arailus intellectual property.

Nothing in these Terms grants you ownership of any Arailus intellectual property.

10. Third-Party Services

The Site may use or integrate with third-party services, payment processors, manufacturers, fulfillment providers, shipping carriers, social-media platforms, analytics providers, or other third parties.

Arailus does not control all third-party services and is not responsible for the independent policies, practices, content, availability, or performance of third-party services.

Your use of third-party services may be subject to their separate terms and policies.

11. Privacy

Your use of the Site and our collection, use, and handling of personal information are also governed by our Privacy Policy.

Our Privacy Policy is incorporated into these Terms by reference.

If there is a conflict between these Terms and the Privacy Policy concerning the handling of personal information, the Privacy Policy will govern to the extent required by applicable law.

12. Email Communications

By providing your email address, you agree that Arailus may use it to communicate with you regarding transactions and your relationship with us.

Transactional or service-related communications may include:

  • order confirmations;

  • shipping notifications;

  • delivery notifications;

  • account communications;

  • customer-service communications;

  • security notices; and

  • other communications necessary to administer your account or orders.

If you separately opt in to receive marketing emails, Arailus may send you promotional communications concerning products, promotions, launches, events, and other marketing information.

You may unsubscribe from marketing emails at any time using the unsubscribe mechanism provided in the communication.

Unsubscribing from marketing communications does not necessarily stop transactional or service-related communications.

13. SMS/MMS Communications

Arailus may offer SMS/MMS messaging programs.

If you voluntarily opt in to receive marketing or other text messages from Arailus, you consent to receive recurring automated text messages at the telephone number you provide, subject to the terms presented during the applicable opt-in process.

Message frequency may vary.

Message and data rates may apply depending on your mobile carrier and plan.

SMS consent is not a condition of purchasing products from Arailus.

You may opt out of marketing text messages by following the opt-out instructions provided in the applicable messages, including replying "STOP" where supported.

You may request assistance by replying "HELP" where supported or by contacting customer service.

Arailus is not responsible for delayed or undelivered messages caused by mobile carriers or other telecommunications providers.

14. Accuracy of Information

We attempt to keep the Site and its information accurate and current.

However, we do not warrant that the Site, product descriptions, prices, availability, photographs, or other information will always be complete, accurate, current, or error-free.

We reserve the right to correct errors, inaccuracies, or omissions and to update information at any time.

15. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARAILUS DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

NOTHING IN THESE TERMS IS INTENDED TO EXCLUDE OR LIMIT ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIRTUS NOVA LLC, ARAILUS, AND THEIR RESPECTIVE OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR PURCHASE OR USE OF PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR A PRODUCT PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID TO ARAILUS FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

17. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Virtus Nova LLC, Arailus, and their respective owners, officers, employees, contractors, agents, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your violation of these Terms;

  • your unlawful or fraudulent use of the Site;

  • your User Content;

  • your violation of another person's rights; or

  • your violation of applicable law.

18. Suspension and Termination

Arailus may suspend, restrict, or terminate your access to the Site or your account if we reasonably believe that you have violated these Terms, engaged in fraudulent or unlawful conduct, abused the Site, or otherwise created a risk to Arailus or other users.

You may stop using the Site or close your account at any time.

Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing-law provisions—will survive termination.

19. Dispute Resolution and Arbitration

19.1 Informal Resolution

Before initiating formal legal proceedings or arbitration, you and Arailus agree to make reasonable efforts to resolve disputes informally.

If you have a dispute with Arailus, you should first contact us at VirtusNovaLLC@gmail.com and provide a description of the dispute and the resolution you are seeking.

Arailus will similarly make reasonable efforts to resolve disputes directly with customers.

19.2 Binding Arbitration

To the maximum extent permitted by applicable law, you and Arailus agree that disputes arising out of or relating to these Terms, the Site, or products purchased from Arailus may be resolved through binding individual arbitration rather than through a court proceeding.

The arbitration will be conducted by a recognized arbitration provider under its applicable consumer arbitration rules, subject to applicable law.

We currently anticipate using the American Arbitration Association (AAA) or another mutually appropriate recognized arbitration provider. The final arbitration procedures may be specified or updated following legal review.

19.3 Individual Claims

To the maximum extent permitted by applicable law, disputes subject to arbitration must be brought on an individual basis.

You and Arailus agree not to participate in a class action, collective action, or representative proceeding against the other to the extent such waiver is legally enforceable.

19.4 Small Claims

Nothing in this Section prevents either party from pursuing an eligible individual claim in small claims court where permitted by applicable law.

19.5 Jury Trial

To the extent permitted by applicable law, you and Arailus waive the right to have covered disputes resolved by a jury.

19.6 Exceptions

Nothing in this Section is intended to prevent either party from seeking emergency or equitable relief from a court where permitted by law, including relief concerning intellectual-property rights, unauthorized use of trademarks, or other circumstances where court intervention is legally available.

Nothing in this Section is intended to waive rights that cannot legally be waived.

19.7 Severability

If any portion of this arbitration provision is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law, unless applicable law requires otherwise.

20. Governing Law

To the extent permitted by applicable law, these Terms and disputes arising between you and Virtus Nova LLC/Arailus will be governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

Nothing in this Section is intended to deprive consumers of mandatory rights or protections provided by the laws of their jurisdiction.

21. Changes to These Terms

We may modify these Terms from time to time.

When we make material changes, we may update the "Last Updated" date and provide additional notice where required by applicable law.

Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms to the extent permitted by law.

If you do not agree with revised Terms, you should stop using the Site.

22. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect unless applicable law requires otherwise.

23. Entire Agreement

These Terms, together with any policies expressly incorporated into them, constitute the agreement between you and Virtus Nova LLC/Arailus concerning your use of the Site and supersede prior agreements concerning the same subject matter, except where otherwise stated.

24. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
